Terms and conditions for using the Jurono Legal Tech Platform

These Terms of Service contain placeholder information for development purposes. Before going live, all placeholder content must be replaced with actual company information and reviewed by qualified legal counsel.
Important Notice
These Terms of Service apply to all services provided by Jurono, including the Software-as-a-Service (SaaS) platform, API services, and consulting services.
1. Scope of Application
(1) These Terms of Service (hereinafter "Terms") apply to all contracts between Jurono (hereinafter "Jurono" or "Provider") and its customers (hereinafter "Customer" or "User") regarding the use of the Jurono platform and related services.
(2) Deviating, conflicting, or supplementary General Terms and Conditions of the Customer shall not become part of the contract unless their validity has been expressly agreed to in writing.
(3) These Terms also apply to all future business relationships, even if they are not expressly agreed upon again.
(4) Legally relevant declarations and notifications made after contract conclusion require text form (e.g., email, letter) to be effective.
2. Subject Matter of the Contract
(1) Jurono provides a cloud-based software platform (Software-as-a-Service) for managing legal practices. The platform includes in particular:
- Client management and case administration
- Time tracking and billing
- Document management with version control
- GDPR compliance tools
- Digital signatures
- API interfaces for integrations
- Reporting and analytics
- Multi-language support (26+ languages)
- Multi-currency billing
(2) The specific scope of services depends on the selected plan and the features defined in the service description on the website.
(3) Jurono reserves the right to further develop and improve the software. Significant changes will be communicated to customers in advance.
(4) The Customer receives a non-exclusive, non-transferable right to use the software for the contract period.
3. Contract Formation
(1) The presentation of services on the website does not constitute a binding offer but an invitation to submit an offer (invitatio ad offerendum).
(2) By registering and selecting a plan, the Customer submits a binding offer to conclude a usage contract.
(3) The contract is formed by confirmation of registration by Jurono (acceptance). Confirmation is sent via email.
(4) For paid plans, successful payment processing is additionally required.
(5) The contract text is stored by Jurono and can be viewed by the Customer in the user account.
4. Service Provision and Availability
(1) Jurono provides the agreed services via the internet. Access is through common web browsers and mobile applications.
(2) Jurono strives for platform availability of 99.5% annually. Excluded from this are:
- Times of scheduled maintenance work (announced 48 hours in advance)
- Times of extraordinary circumstances (force majeure, hacker attacks, etc.)
- Outages due to problems with internet providers or third parties
(3) Maintenance work is generally performed outside business hours (Mon-Fri 09:00-18:00 CET).
(4) For disruptions or outages lasting longer than 24 hours, a proportional refund of the monthly fee is granted.
5. Prices and Payment Terms
(1) The current prices and features for each plan can be found on our pricing page. All prices are excluding VAT unless otherwise stated.
(2) Payment terms:
- Monthly plans: Payment due monthly in advance
- Annual plans: Payment due annually in advance with discount
- Enterprise plans: Individual payment terms as agreed
(3) Payment is processed via our payment providers (Stripe, PayPal). Jurono does not store credit card information.
(4) In case of payment default, Jurono may suspend access to the platform after a grace period of 14 days.
(5) Price changes are announced 30 days in advance and take effect at the next billing cycle.
6. Customer Obligations and Prohibited Uses
(1) The Customer is obligated to:
- Provide accurate and current information during registration
- Maintain the confidentiality of login credentials
- Use the platform only for lawful purposes
- Respect the intellectual property rights of Jurono and third parties
- Comply with applicable data protection laws when using the platform
(2) Prohibited uses include:
- Reverse engineering, decompiling, or attempting to derive source code
- Transmitting viruses, malware, or other harmful code
- Attempting to gain unauthorized access to other users' data
- Using the platform for illegal activities or spam
- Circumventing security measures or usage limits
- Sublicensing or reselling platform access without written consent
(3) Violation of these obligations may result in immediate suspension or termination of the account.
7. Data Protection and Security
(1) Data processing is governed by our separate Privacy Policy and Data Processing Agreement (DPA).
(2) Jurono implements appropriate technical and organizational measures to protect customer data:
- End-to-end encryption for data transmission and storage
- Regular security audits and penetration testing
- ISO 27001 certified security management
- Automated backup and disaster recovery
- Access controls and audit logging
(3) Customer remains the data controller for all client data entered into the platform and is responsible for obtaining necessary consents.
(4) Data is hosted exclusively on EU servers with GDPR-compliant data processors.
8. Intellectual Property Rights
(1) All intellectual property rights in the Jurono platform, including software, trademarks, and content, remain with Jurono or its licensors.
(2) The Customer retains all rights to their data and content uploaded to the platform.
(3) The Customer grants Jurono a limited license to process and store their data solely for providing the agreed services.
(4) No rights are granted beyond the express usage rights defined in these Terms.
9. Contract Duration and Termination
(1) Contract duration depends on the selected plan:
- Free Trial: 30 days, automatically expires
- Monthly Plans: 1 month, automatically renewing
- Annual Plans: 12 months, automatically renewing
- Enterprise Plans: As individually agreed
(2) Either party may terminate the contract with 30 days' notice to the end of the billing period.
(3) Jurono may terminate immediately for cause, including:
- Material breach of these Terms
- Payment default exceeding 30 days
- Illegal use of the platform
- Endangerment of platform security or other users
(4) Upon termination, the Customer has 30 days to export their data before it is permanently deleted.
(5) No refunds are provided for partial months except in cases of Jurono's material breach.
10. Liability and Warranties
(1) Jurono provides the platform "as is" and makes no warranties beyond those required by law.
(2) Liability is limited as follows:
- Unlimited liability: For damages caused by intent or gross negligence, personal injury, or warranty claims
- Limited liability: For other damages, liability is limited to the annual subscription fee
- Excluded liability: For indirect, consequential, or lost profit damages
(3) The Customer is responsible for:
- Regular data backups and export
- Testing the platform's suitability for their needs
- Compliance with professional and legal obligations
- Proper configuration of security settings
(4) These limitations apply to the fullest extent permitted by applicable law.
11. Support and Service Level
(1) Support is provided according to the selected plan:
- Starter Plan: Email support, 48-hour response time
- Professional Plan: Email and chat support, 24-hour response time
- Enterprise Plan: Priority support with dedicated account manager, 4-hour response time
(2) Support is available in English and German during business hours (Mon-Fri 09:00-18:00 CET).
(3) Support includes technical assistance, bug reports, and usage questions but excludes custom development or legal advice.
(4) Training and onboarding services are available separately for Enterprise customers.
12. Modifications to Terms
(1) Jurono reserves the right to modify these Terms with reasonable notice.
(2) Material changes will be announced at least 30 days in advance via email and platform notification.
(3) Continued use of the platform after the effective date constitutes acceptance of the modified Terms.
(4) If you disagree with the changes, you may terminate your contract with immediate effect before the changes take effect.
13. Governing Law and Jurisdiction
(1) These Terms are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) For contracts with merchants, legal entities under public law, or special funds under public law, the exclusive jurisdiction is Hamburg, Germany.
(3) Consumers may also file suit at their place of residence.
(4) For EU residents, the European Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr/.
14. Severability and Final Provisions
(1) If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
(2) Invalid provisions shall be replaced by valid provisions that come closest to the economic purpose of the invalid provision.
(3) Changes and supplements to these Terms must be made in writing or text form.
(4) The contract language is English. In case of conflicts between language versions, the German version prevails.
